Terms of Service

Welcome to CAMS. These Terms of Service (“Terms”) describe the rules that apply when you use the Crop Agency Management System platform and any related services provided by Momentum AG (“we,” “us,” or “our”) at cams.momentum.ag. Using CAMS means you accept these Terms — if you don’t agree, please don’t use the platform.

1. Acceptance

CAMS is a web and mobile platform that gives you access to crop agency management tools and services provided by Momentum AG. When you create an account, sign an order form, or simply start using CAMS, you’re agreeing to these Terms. If you’re agreeing on behalf of a company or organization, the word “you” in these Terms refers to that entity.

2. Authorized Use

By using CAMS, you represent that you are at least 18 years old and legally capable of entering into a binding agreement. If you’re signing up on behalf of a business, you represent that you have the authority to bind that business to these Terms.

3. Service Subscription

Subject to your compliance with these Terms, Momentum AG gives you a limited, personal, non-transferable right to access and use CAMS for your own internal business operations. Your access is tied to your account credentials and may not be shared. Everything else — the platform, its code, its design, and all underlying technology — belongs to Momentum AG and its licensors. Nothing in these Terms transfers any ownership to you.

4. Privacy

Your privacy matters to us. Our Privacy Policy, available at cams.momentum.ag/privacy-policy, explains what information we collect, how we use it, and the choices you have.

5. Equipment and Networks

To use the CAMS mobile app, you’ll need a device running iOS 14.0 or later (iPhone or iPad) or Android 8.0 or later. By installing the app, you confirm that you own the device or have permission to use it for this purpose. You’re responsible for everything that happens on your device in connection with CAMS, whether or not you were the one using it at the time.

6. Availability

CAMS is delivered over the internet and mobile networks, which means performance can be affected by things beyond our control — your internet connection, your carrier, your hardware, and network conditions generally. You’re responsible for your own connectivity costs and equipment. We don’t make any guarantees about uninterrupted access, and we aren’t liable for outages or data transmission failures caused by third-party networks or providers.

7. Use of Your Content

Any data, files, or information you bring into CAMS — including crop records, policy data, and agency information — is your Content. You keep full ownership of it. By uploading it, you give us a limited license to store and process it for the sole purpose of delivering the Services to you. You’re responsible for making sure you have the right to upload any Content you bring in. You can remove your Content at any time, though backup copies may persist temporarily as part of our standard data retention practices.

8. Prohibited Use

CAMS is built for legitimate crop agency management work. The following uses are not permitted:

  • Copying, redistributing, sublicensing, or reselling the platform or any part of it;
  • Sharing your login credentials or allowing others to access CAMS through your account;
  • Attempting to access CAMS through any method other than our official interfaces;
  • Bypassing or disabling any security, access control, or usage restriction;
  • Infringing the intellectual property rights of Momentum AG or any third party;
  • Misrepresenting your identity or your authority to act on behalf of any person or organization;
  • Taking any action intended to damage, disable, or overload the platform;
  • Introducing malicious code, viruses, or harmful software of any kind;
  • Interfering with other users’ access to or enjoyment of CAMS; or
  • Violating any applicable local, state, federal, or international law.

9. No Modifications or Reverse Engineering

You may not attempt to reverse engineer, decompile, disassemble, or otherwise extract the source code of CAMS. You also may not modify, translate, or create derivative works from any part of the platform. If you believe you have a legal right under your jurisdiction to access source code for interoperability purposes, contact us first — we’ll evaluate the request and may provide the necessary information directly.

10. Payment

Subscription fees are billed in US dollars and are due within 15 days of invoice. We accept payment by credit card or ACH. We’ll give you at least 60 days’ written notice before changing your subscription price. Taxes are not included in our fees and are your responsibility. If your payment method changes, please update your billing information promptly — if you don’t, we may attempt to retrieve updated payment details from your card network to keep your account active.

11. Subcontracting

We may use third-party vendors and service providers to help us deliver CAMS. Any such vendors are required to maintain confidentiality standards consistent with this Agreement. We remain fully responsible to you for the quality and completion of the Services regardless of who performs them.

12. Updates to the Services

We’re always working to improve CAMS. We may add, change, or remove features at any time without prior notice and without liability. If we ever discontinue CAMS entirely, we’ll provide a prorated refund for any prepaid subscription period that remains unused.

13. Termination

Either party may terminate this Agreement before the end of the subscription term if the other party materially breaches it and fails to fix the problem within 30 days of written notice (or 10 days for non-payment). If your account becomes subject to a bankruptcy or insolvency proceeding, we may also terminate. If you terminate for our breach, we’ll refund any prepaid fees for the unused remainder of your term. If we terminate for your breach, any outstanding fees for the remaining term remain due. Termination doesn’t erase what you owe us up to the termination date.

14. Survival

When these Terms end — whether by expiration or termination — your access to CAMS will stop. The following sections will continue to apply regardless: your indemnification obligations, our disclaimers and liability limitations, and the dispute resolution process.

15. Copyrights and Trademarks

All content on CAMS — including the platform design, logos, text, graphics, and software — is the intellectual property of Momentum AG or its licensors. Nothing on CAMS should be read as granting you any license to use our trademarks, brand assets, or copyrighted materials. If you’d like to reference CAMS or Momentum AG in any public-facing context, please contact us for written permission first.

16. Links to Third-Party Websites

CAMS may include links to third-party websites for your convenience. We don’t control those sites, we don’t endorse them, and we aren’t responsible for their content, accuracy, or privacy practices. Clicking those links is at your own risk.

17. Disclaimer of Warranties

CAMS IS PROVIDED “AS AVAILABLE” AND “AS-IS.” TO THE FULLEST EXTENT ALLOWED BY LAW, MOMENTUM AG MAKES NO WARRANTIES — EXPRESS, IMPLIED, OR STATUTORY — REGARDING THE PLATFORM, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT CAMS WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF CAMS IS ENTIRELY AT YOUR OWN RISK.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOMENTUM AG WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — REGARDLESS OF THE LEGAL THEORY UNDER WHICH SUCH DAMAGES ARE CLAIMED AND EVEN IF WE WERE ADVISED OF THEIR POSSIBILITY. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100.00 OR (B) THE TOTAL FEES YOU PAID TO US IN THE THREE MONTHS BEFORE THE CLAIM AROSE.

19. Indemnification

You agree to defend, indemnify, and hold harmless Momentum AG and its affiliates, officers, employees, and agents against any claims, damages, losses, or legal costs — including reasonable attorneys’ fees — that arise from your Content, your use of CAMS, or your breach of these Terms.

20. Disclosure

We treat your information as confidential. However, we may disclose account or usage information when required by a valid legal process (such as a court order or subpoena), when necessary to resolve a support request you’ve made, or when we reasonably believe disclosure is needed to protect the safety, rights, or property of Momentum AG, our users, or the public.

21. Trade Control Laws

CAMS is subject to U.S. export control laws and international trade regulations. You agree not to access or use CAMS in any way that would violate those laws, including using the platform in sanctioned countries or transferring it to restricted parties.

22. Dispute Resolution

If you have a dispute with us, please reach out first — we’d rather resolve things directly. If we can’t reach a resolution within 30 days of you contacting us, the dispute will be resolved through binding individual arbitration. You waive any right to participate in a class action or consolidated proceeding. That said, either party may seek emergency injunctive relief in court to prevent irreparable harm, and we may pursue collection of unpaid fees in any court with jurisdiction.

23. Updates to the Terms

We may update these Terms from time to time. When we do, we’ll revise the “Last Updated” date at the top. If you keep using CAMS after updated Terms go into effect, that’s your acceptance of the changes. We encourage you to review these Terms periodically.

24. Assignment

Your rights under these Terms are personal to you and may not be transferred or assigned to anyone else without our written consent. We may assign or transfer our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.

25. Notice

Formal legal notices to Momentum AG should be sent in writing to: Momentum AG, 5550 Wild Rose Ln, Suite 400, West Des Moines, IA 50266. We may send notices to you by email, through the CAMS platform, or by mail to the address associated with your account.

26. Severability

If any part of these Terms is found to be invalid or unenforceable, that part will be modified to the minimum extent necessary to make it enforceable, or removed if modification isn’t possible. The rest of the Terms remain in full effect.

27. No Waiver

If we don’t enforce a particular provision of these Terms at any given time, that doesn’t mean we’re giving up the right to enforce it later. No waiver of any term is effective unless made in writing.

28. Miscellaneous

These Terms, together with any applicable order forms or supplemental agreements, constitute the entire agreement between you and Momentum AG regarding CAMS and supersede all prior discussions, representations, or agreements on the same subject. If you submit ideas, suggestions, or feedback about CAMS, you grant us a perpetual, royalty-free right to use that feedback in any way we see fit — we appreciate the input but can’t treat it as confidential or compensable. The prevailing party in any arbitration or legal proceeding under these Terms is entitled to recover reasonable attorneys’ fees.
